The scope, timeline, and deliverables for each project are defined in a separate Project Agreement or Statement of Work (SOW) provided before project commencement.
3. Project Agreements & Payments
All projects are governed by a separate written agreement outlining scope, timeline, milestones, and payment terms.
• Payment schedules vary by project and are defined in the project agreement.
• Late payments may result in project suspension until the outstanding balance is cleared.
• LuvorAI Solutions reserves the right to adjust timelines in the event of delayed client feedback or content delivery.
• All prices are quoted in INR or USD as agreed, and are exclusive of applicable taxes.
4. Intellectual Property
Upon full payment of all agreed fees, the client receives full ownership of all custom code, designs, and deliverables created for their project.
• LuvorAI Solutions retains the right to showcase completed work in our portfolio unless a non-disclosure agreement (NDA) is in place.
• Third-party libraries, plugins, and frameworks used in projects are subject to their respective open-source licenses.
• Any pre-existing intellectual property of LuvorAI Solutions (such as internal frameworks or proprietary tools) remains the property of LuvorAI Solutions.
5. Client Responsibilities
To ensure successful project delivery, clients are expected to:
• Provide timely feedback, content, and access credentials as required.
• Ensure all content, images, and materials provided do not infringe on third-party intellectual property rights.
• Appoint a single point of contact for all project communications.
• Not share project access credentials with unauthorized individuals.
6. Limitation of Liability
LuvorAI Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities.
Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question.
7. Confidentiality
Both parties agree to keep all confidential information shared during the project strictly confidential. This includes business strategies, technical specifications, and client data.
LuvorAI Solutions will not disclose any client information to third parties without prior written consent, except where required by law.
8. Termination
Either party may terminate a project agreement with written notice as specified in the project agreement.
• In the event of termination by the client, payment is due for all work completed up to the termination date.
• LuvorAI Solutions reserves the right to terminate services in cases of non-payment, abusive conduct, or violation of these terms.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in India.
10. Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after any changes constitutes acceptance of the new terms.
